Affiliate Program Terms
Important Notice to Affiliates
All affiliate commissions are calculated only on Net Transaction Value (NTV), never on gross revenue.
This means commissions are based on the actual amount Communi receives after deductions for payment processing fees, currency conversion costs, taxes (e.g., VAT/GST), chargebacks, reversals, refunds, or other statutory or operational deductions.
Example: A $100 sale with $3 in processing fees and $10 in VAT = $87 NTV. At a 40% commission rate, your payout is $34.80.
- Commissions are calculated solely on Net Transaction Value.
- Communi’s accounting records and the Affiliate Dashboard are the final and binding authority for all commission calculations, adjustments, reserves, and payouts.
- No entitlement exists to commissions based on gross revenue or amounts deducted for fees, taxes, or adjustments.
By enrolling or continuing in the Program, you expressly acknowledge and agree that:

Introduction
- These Affiliate Program Terms (“Affiliate Terms”) govern your participation in the Communi Affiliate Program (“Program”) and form part of the Communi Terms & Conditions.
- By enrolling or continuing participation, you (“Affiliate,” “you,” or “your”) agree to be bound by these Affiliate Terms.
- If you do not agree, you may not participate in the Program.
- Communi may amend these Affiliate Terms at any time by posting an updated version. Continued participation after posting constitutes acceptance.

Interpretation and Definitions

Interpretation
- Headings are for convenience only.
- “Including” means “including but not limited to.”
- Singular includes plural and vice versa.
- “You” includes your successors and permitted assigns.
- “Communi,” “we,” “our,” or “us” includes our affiliates, subsidiaries, and assigns.

Definitions
- Affiliate Dashboard – Communi’s authoritative system of record for tracking, attribution, commission calculations, adjustments, reserves, clawbacks, and payouts.
- Affiliate Program or Program – the referral and commission scheme operated by Communi under these Affiliate Terms.
- Net Transaction Value (NTV) – the amount actually received by Communi for a Qualifying Transaction after deducting refunds, chargebacks, reversals, payment processing fees, currency conversion costs, taxes, levies, or other statutory deductions.
- Qualifying Transaction – a valid, completed, paid user purchase tracked under the Program, not subject to refund, cancellation, fraud, or self-purchase.
- Pending Commission – a provisional commission shown in the Dashboard that has not yet cleared the refund/holding period.
- Available Commission – a cleared commission eligible for payout.
- Minimum Payout Threshold – the minimum balance displayed in the Dashboard that must be met before a payout will be processed.
- Support Center – Communi’s official ticketing platform for disputes and inquiries.

Eligibility and Enrollment

To join the Program, you must:
- Hold a valid Communi account in good standing;
- Be at least 18 years of age;
- Provide accurate payout and tax information, and complete any KYC/AML checks requested.
- Communi may accept, decline, suspend, or terminate any application or account at its sole discretion and without obligation to provide reasons.
- Affiliates are limited to one account unless expressly approved by Communi. Duplicate or fraudulent applications may result in forfeiture of commissions.

Commission Basis
- Net Only. All commissions are calculated exclusively on NTV. Gross revenue is never used.

Illustrative Example:
- Sale Price: $100
- Payment Processor Fee: $3
- VAT (10%): $10
- NTV = $87
- Commission: 40% × $87 = $34.80
- Affiliates agree that NTV-based commissions are final, binding, and conclusive.

Commission Rates and Attribution
- Unless otherwise stated, the standard commission rate is 40% of NTV.
- Attribution is determined by Communi’s first-cookie model within the published cookie window.
- Attribution may be adjusted if fraud, self-purchases, or misattribution is detected.
- The Affiliate Dashboard is the final and binding record for attribution and commission calculations.

Pending, Approval, and Payouts
- Commissions remain Pending for thirty-two (32) days to cover the refund period plus a buffer.
- Commissions become Available only after clearing this holding period.

Payouts require:
- An active account in good standing;
- Meeting the Minimum Payout Threshold;
- Completion of tax/KYC requirements if requested.
- Payouts are made in USD via the method specified in the Dashboard.
- Affiliates are responsible for ensuring payout details are accurate. Communi is not liable for failed payments, delays, or losses caused by inaccurate information, banks, or processors.
- If the Minimum Payout Threshold is not reached, balances remain pending until accumulated.
- Communi may delay payouts for investigation of suspicious activity, fraud review, or compliance checks, at its sole discretion.

Adjustments, Clawbacks, and Reserves

Communi may deduct, offset, or claw back commissions from pending or future payouts if:
- A refund, chargeback, or reversal occurs;
- A transaction is later deemed invalid, fraudulent, or non-qualifying;
- Fees, taxes, or deductions are applied after the initial sale;
- Errors in calculation are identified.
- Negative balances may occur and will be carried forward until recovered.
- Communi may hold back a reasonable reserve against anticipated chargebacks, compliance risks, or future adjustments. Reserves may be released on a rolling basis or upon program exit, at Communi’s sole discretion.

Affiliate Obligations

Affiliates must:
- Promote Communi truthfully and in compliance with applicable law;
- Disclose affiliate relationships as legally required (e.g., FTC guidelines);
- Use only approved promotional materials when provided.

Affiliates must not:
- Engage in spam, cookie stuffing, or deceptive practices;
- Use incentivized traffic (cash rewards, giveaways, etc.) unless pre-approved by Communi;
- Promote Communi on adult, hate, extremist, or illegal websites;
- Bid on Communi trademarks or use confusingly similar domains;
- Harass, threaten, or pressure Communi staff or users regarding payouts;
- Use fraudulent or automated methods to generate traffic or sales;
- Misrepresent Communi’s services, features, or pricing.

Representations & Warranties

You represent and warrant that:
- You have the full legal right, power, and authority to enter into and perform under these Affiliate Terms;
- Your participation in the Program will not violate any laws, regulations, contracts, or obligations owed to third parties;
- All information provided to Communi (including payout and tax details) is accurate, complete, and not misleading;
- You will comply with all applicable advertising, consumer protection, and data privacy laws when promoting Communi;
- You will not make false, misleading, or unsubstantiated claims about Communi’s services;
- You will not engage in conduct that damages or is likely to damage Communi’s reputation or goodwill.
- You acknowledge that Communi relies on these representations and warranties in granting you participation in the Program.

Taxes
- Affiliates are solely responsible for reporting and paying all taxes on commissions earned.
- Communi may withhold taxes where required and request tax documentation (e.g., W-8BEN, W-9). Failure to provide documentation may result in delayed or forfeited payouts.

Audit Rights
- Communi may, upon reasonable notice, audit Affiliate activities, websites, and traffic sources to ensure compliance with these Affiliate Terms.
- Affiliates must cooperate fully with audit requests, including providing traffic logs, marketing materials, or records of promotional activity.
- Failure to comply with an audit request may result in suspension, termination, and forfeiture of unpaid commissions.

Disputes
- All disputes must be submitted via the Support Center or support@communi.com.
- Disputes regarding commission calculations must be raised within thirty (30) days of the relevant payout date. Failure to raise a dispute within this timeframe constitutes acceptance of the payout.
- Communi’s Dashboard and accounting records are authoritative and binding.
- Complaints raised in forums, chats, or public channels are not valid submissions and will not be reviewed.

Suspension and Termination

Communi may suspend or terminate participation immediately for:
- Breach of these Affiliate Terms or the T&C;
- Fraudulent, unlawful, or misleading activity;
- Reputational harm to Communi;
- Failure to comply with tax/KYC obligations.

Upon termination:
- Unpaid commissions tied to refunded, cancelled, fraudulent, or adjusted transactions are forfeited;
- Access to the Dashboard and affiliate community may be revoked;
- Communi reserves the right to withhold reserves until final reconciliation.

Non-Disparagement
- Affiliates must not disparage, defame, or make negative statements about Communi, its products, services, or staff.
- Breach of this section may result in immediate termination and forfeiture of unpaid commissions.

Warranties and Disclaimers
- The Program is provided “as is.” Communi makes no warranties, express or implied, regarding availability, tracking accuracy, system uptime, or potential earnings.
- Affiliates acknowledge that results depend on their own efforts, market conditions, and other factors outside Communi’s control.

Limitation of Liability
- To the maximum extent permitted by law, Communi’s liability under these Affiliate Terms is capped at USD $100.
- Communi shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, opportunities, or goodwill.

Indemnification

Affiliates agree to indemnify, defend, and hold harmless Communi, its affiliates, officers, and staff against claims, losses, damages, or liabilities arising from:
- Breach of these Affiliate Terms;
- Unlawful or misleading promotional activities;
- Misrepresentations made about Communi.

Amendments
- Communi may amend these Affiliate Terms at any time by posting an updated version.
- Continued participation after notice constitutes acceptance of the amended terms.
- Communi may require explicit re-acceptance (e.g., clicking “I agree”) before payouts are processed.

Governing Law and Jurisdiction
- These Affiliate Terms are governed by the laws of Hong Kong.
- Any disputes shall be resolved exclusively in the courts of Hong Kong.

Miscellaneous
- Assignment. Affiliates may not assign rights or obligations. Communi may assign in connection with merger, acquisition, or sale.
- Severability. If any provision is invalid, the remainder remains enforceable.
- Survival. Sections on NTV, adjustments, disputes, indemnification, limitation of liability, audit rights, non-disparagement, and representations & warranties survive termination.
- Entire Agreement. These Affiliate Terms, together with the Communi Terms & Conditions, constitute the entire agreement between the parties regarding the Program.

How much do I earn?
- The standard commission rate is 40%.

When do I get paid?

- Payouts are made in USD via the method listed in your Dashboard.
- Make sure your payout details are accurate — Communi isn’t responsible for delays or errors from incorrect info, banks, or processors.
What happens if there’s a refund or chargeback?
- If a sale is refunded, reversed, or charged back, the commission is clawed back automatically.
- Negative balances can carry forward until recovered from future earnings.
- Communi may also hold a reserve for anticipated refunds or risks.
What can’t I do?

You must not:
- Spam, mislead, or deceive potential customers;
- Bid on Communi trademarks or use confusingly similar domains;
- Misrepresent Communi’s services or pricing;
- Pressure or harass Communi staff about payouts; or
- Engage in fraud, fake traffic, or self-purchases.
- Violations may result in suspension, termination, and forfeiture of commissions.
What if I disagree with a payout?
- Disputes must be submitted via the Support Center within 30 days of the payout date.
- After that, the payout is considered accepted and final.
- Communi’s Affiliate Dashboard and accounting records are binding and conclusive.
Important Legal Notes
- Participation in the Affiliate Program is at Communi’s discretion.
- The Program is provided “as is” — Communi doesn’t guarantee earnings.
- Communi’s liability is capped at USD $100.
