1. Agreement is a Legally Binding Contract
1.1 These Terms & Conditions (the “Agreement”) form a legally binding contract between you and Communi, and they govern your access to and use of all Communi websites, mobile applications, dashboards, content, services, products, and related tools (collectively, the “Sites” or “Services”).
1.2 By accessing, browsing, creating an account on, or otherwise using the Sites, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, together with all policies incorporated herein by reference.
1.3 If you are using the Sites on behalf of an employer, company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to this Agreement. In that case, “you” and “your” will refer to both you as an individual and that entity.
1.4 If you (or your employer, where applicable) do not agree to this Agreement, or if you do not have authority to bind your employer or organization, you must immediately discontinue access and refrain from using the Sites.
1.5 This Agreement applies to all users of the Sites, including but not limited to:
- Visitors – unregistered users who access the Sites without creating an account.
- Members – registered users of Communi services.
- Affiliates – users participating in the Communi Affiliate Program.
1.6 By continuing to use the Sites, you expressly agree that this Agreement is valid, enforceable, and equivalent to a written, signed contract, whether accessed electronically or otherwise.
2. Additional Terms Incorporated by Reference
2.1 The following policies are expressly incorporated into this Agreement by reference and form an integral part of the contract between you and Communi. By using the Sites, you also agree to comply with and be bound by these additional policies:
- Privacy Policy – governs collection, use, and handling of personal data.
- Refunds & Cancellations Policy – sets out refund eligibility, procedures, and chargeback rules.
- Complaints & Dispute Resolution Policy – outlines complaint handling, internal escalation, and governing law.
- Billing & Payments Terms – governs payment methods, fees, invoicing, and reserves.
- Community / Platform Guidelines – governs acceptable behavior and community standards.
- Affiliate Program Terms – governs affiliate participation, attribution, commission eligibility, clawbacks, and termination.
2.2 These incorporated policies may be updated from time to time, and updated versions will apply once published.
2.3 In the event of conflict between this Agreement and an incorporated policy:
- The Affiliate Program Terms prevail for affiliate matters;
- The Refunds & Cancellations Policy prevails for refund issues;
- The Complaints & Dispute Resolution Policy prevails for disputes and complaints;
- Otherwise, this Agreement controls.
3. Interpretation and Definitions
3.1 Interpretation
- Headings are for convenience only and do not affect interpretation.
- Words importing the singular include the plural and vice versa.
- References to “including” or “includes” mean “including, but not limited to.”
- References to legislation include modifications, re-enactments, or replacements.
- References to “you” or “your” include permitted successors, heirs, representatives, and assigns.
- References to “Communi,” “we,” “our,” or “us” include Bakker Research International Limited (Hong Kong), its affiliates, subsidiaries, successors, and permitted assigns.
- If there is ambiguity in interpretation, Communi’s determination shall prevail.
3.2 Definitions
- Account – the registered profile created by you to access and use the Sites.
- Affiliate – any individual or entity accepted by Communi into the Affiliate Program.
- Affiliate Dashboard – Communi’s authoritative system of record for affiliate tracking, attribution, commission calculations, adjustments, clawbacks, and payouts.
- Affiliate Program – the referral and commission scheme operated by Communi under the Affiliate Program Terms.
- Applicable Law – all laws, statutes, regulations, rules, codes, and binding directives in force from time to time that apply to you or Communi.
- Community Guidelines – the rules of conduct published by Communi that govern user behavior within groups and communities.
- Confidential Information – all non-public, proprietary, or sensitive information disclosed by Communi to you, whether oral, written, or digital.
- Intellectual Property Rights – all rights in patents, copyrights, trademarks, trade secrets, designs, know-how, and similar rights worldwide.
- Members – registered users of Communi services.
- Visitors – unregistered users who access the Sites.
- Net Transaction Value (NTV) – the amount actually received by Communi for a Qualifying Transaction after deductions (refunds, chargebacks, reversals, transaction fees, currency conversion, taxes, levies). Commissions are never calculated on gross revenue.
- Payment Processor – any third-party payment service provider used by Communi.
- Qualifying Transaction – a valid, completed, paid user purchase tracked under the Affiliate Program, not subject to refund, cancellation, or fraud, and not a self-purchase or test transaction.
- Refund Policy – the refund policy published at /legal/refund-policy, as amended.
- Services – the Sites, groups, tools, features, applications, and other offerings made available by Communi.
- Support Center – Communi’s official helpdesk and ticketing platform.
- User Content – all text, images, videos, audio, and other materials uploaded or submitted by Users on the Sites.
- You / Your – the person or entity accessing or using the Sites, including Members, Visitors, or Affiliates.
3.3 Hierarchy of Documents
- This Agreement controls unless expressly stated otherwise.
- Affiliate Program Terms control for affiliate matters.
- Refund Policy controls for refunds.
- Complaints & Dispute Resolution Policy controls for disputes.
4. Changes to Agreement and Site
4.1 Communi may amend this Agreement or any incorporated policies at any time by posting an updated version on the Sites.
4.2 Where changes are material, Communi may also notify you via email or in-platform notice. However, it is your responsibility to review the Terms regularly.
4.3 Continued use of the Sites after publication of changes constitutes acceptance of the updated Agreement.
4.4 Communi reserves the right to:
- Modify, suspend, or discontinue any aspect of the Services at any time, with or without notice;
- Refuse service to any user for any lawful reason;
- Impose new conditions on access and use; and
- Update features or security protocols without prior notice.
4.5 You acknowledge and agree that Communi shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
5. Use of the Site
5.1 You are responsible for ensuring that your use of the Sites complies with all Applicable Law.
5.2 You may not use the Sites for any unlawful, fraudulent, harmful, abusive, or unauthorized purpose.
5.3 You agree to comply with our Community / Platform Guidelines at all times.
5.4 Prohibited conduct includes, without limitation:
- Using bots, crawlers, or automated tools without written consent.
- Reverse engineering, copying, framing, or modifying any part of the Sites.
- Attempting unauthorized access to accounts, systems, or data.
- Uploading or distributing viruses, malware, or harmful content.
- Spamming, misleading, or deceptive practices.
- Activities likely to damage Communi’s reputation, business operations, or infrastructure.
6. User Content and Licensing
6.1 You are solely responsible for all User Content submitted to the Sites.
6.2 By uploading or posting User Content, you grant Communi a worldwide, royalty-free, sublicensable, transferable license to use, display, reproduce, adapt, distribute, and promote such content for operating, improving, and marketing the Services.
6.3 Communi may review, moderate, remove, or refuse to display User Content at its sole discretion.
6.4 You represent and warrant that you have the necessary rights to grant this license and that your User Content does not infringe or violate third-party rights.
7. Third-Party Sites and Services
7.1 The Sites may include links, plug-ins, or integrations from third parties.
7.2 Communi is not responsible for third-party content, privacy practices, or services, and access is at your own risk.
7.3 Inclusion of links does not imply endorsement or responsibility.
8. Privacy and Security
Please review our Privacy Policy to understand how we collect, process, and secure data, and how you may exercise your data rights.
9. Affiliate Program (Summary)
9.1 Participation in the Affiliate Program is governed by the Affiliate Program Terms (/legal/affiliate-terms).
9.2 Key points:
- Commissions are based only on Net Transaction Value.
- Pending balances are not payable; only Available balances are eligible for payout.
- Communi may apply adjustments, clawbacks, reserves, or offsets at any time.
- Disputes must be raised via the Support Center or support@communi.com.

10. Fees and Refunds
10.1 Fees are payable in the amounts and manner described on the Sites.
10.2 Fees are exclusive of applicable taxes, levies, or duties.
10.3 Refunds are governed by the Refunds & Cancellations Policy. In case of conflict, that policy prevails.
11. Conduct and Communication
11.1 Users must maintain professional and respectful conduct with Communi staff and other users.
11.2 Harassment, threats, abuse, impersonation, or misrepresentation may result in suspension or termination.
11.3 Users may not misuse the Support Center, submit frivolous claims, or attempt to pressure Communi staff through public forums.
11.4 Affiliate disputes must only be raised via the Support Center or support@communi.com.
11.5 Users may not disparage, defame, or make negative statements about Communi, its products, services, or staff.
12. Suspension and Termination
12.1 Communi may suspend or terminate accounts at any time for breach, fraud, reputational harm, or security risks.
12.2 During suspension, access may be restricted and payouts withheld.
12.3 Termination results in forfeiture of unpaid commissions tied to refunded, cancelled, fraudulent, or adjusted transactions.
12.4 Grounds include but are not limited to: repeated violations, non-payment of fees, spamming, affiliate abuse, or legal non-compliance.
12.5 Communi may refuse service, terminate accounts, or discontinue features at its sole discretion.
13. Dispute Resolution
13.1 Before initiating external legal action, you must complete the internal complaint process described in the Complaints & Dispute Resolution Policy.
13.2 This internal process is a precondition to court action (except where prohibited by law).
13.3 Governing law: Hong Kong.
13.4 Jurisdiction: exclusive courts of Hong Kong.
14. Warranties and Disclaimers
14.1 The Sites are provided “as is” and “as available.”
14.2 Communi disclaims all implied warranties, including merchantability, fitness for purpose, and non-infringement.
14.3 Communi does not guarantee uninterrupted or error-free operation, nor results from using its services or participating in the Affiliate Program.
14.4 Reliance on Site content is at your own risk.
15. Limitation of Liability
15.1 Communi’s aggregate liability is limited to USD $100.
15.2 Communi is not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, goodwill, or data.
15.3 These limitations apply regardless of legal theory, even if Communi was advised of possible damages.
16. Indemnification
You agree to indemnify and hold harmless Communi, its affiliates, officers, and staff against claims, losses, damages, liabilities, or expenses (including attorneys’ fees) arising from:
- Your use of the Sites;
- Your breach of this Agreement;
- Your violation of third-party rights.
17. Termination of Services
17.1 Communi may discontinue or suspend services at its sole discretion.
17.2 No refunds will be provided if termination results from breach.
18. Export Controls and Geographic Restrictions
18.1 You are responsible for compliance with export, re-export, and import laws.
18.2 Services may not be available in restricted jurisdictions.
19. Force Majeure
Communi shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, power failures, internet outages, labor disputes, governmental actions, pandemics, or acts of war.
20. Entire Agreement and Precedence
20.1 These Terms, together with incorporated policies, are the entire agreement between you and Communi.
20.2 Precedence:
- Affiliate Program Terms prevail for affiliate matters.
- Refund Policy prevails for refunds.
- Complaints & Dispute Resolution Policy prevails for disputes.
21. Miscellaneous
21.1 Headings are for convenience only.
21.2 If any provision is invalid, the remainder continues in effect.
21.3 Assignment: You may not assign rights or obligations without consent. Communi may assign freely.
21.4 Waiver: Failure by Communi to enforce a right does not waive it.
21.5 Survival: Limitation of liability, indemnification, dispute resolution, user content license, non-disparagement, and precedence provisions survive termination.
22. Copyright and IP Infringement
22.1 Communi respects intellectual property rights.
22.2 Claims of infringement must include claimant’s information, identification of the work, location of infringement, and supporting evidence.

- User Content License: anything you upload may be used by Communi for operating and promoting the Services.
Suspension & Termination
- Accounts may be suspended or terminated for breach, fraud, reputational harm, or at Communi’s discretion.
- Termination results in forfeiture of unpaid commissions.
Dispute Resolution
- You must first follow the Complaints & Dispute Resolution process.
- Governing law: Hong Kong.
- Exclusive jurisdiction: Hong Kong courts.
Liability & Indemnity
- Communi’s liability capped at USD $100.
- No liability for indirect or consequential damages.
- You indemnify Communi for breaches, misuse, or third-party claims.
Force Majeure
- Communi is not liable for delays/failures caused by events outside its control.
